Public Contract (Offer) for the Purchase of Products
1. General Provisions
1.1This document is the official proposal (public offer) of sole proprietor Hanna Vasylieva, hereinafter referred to as the “Seller”, to enter into a distance purchase agreement for goods (via an online store) in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine.
1.2According to Article 642 of the Civil Code of Ukraine, the full and unconditional acceptance of this public offer is the Customer placing an order by clicking the “Place Order” button in the online store cart and making full (100%) payment for the order under the terms of this agreement.
1.3Acceptance of the offer is also considered completed if the Customer registers on the website of the online store.
1.4By placing an order or registering on the website, the Customer confirms full agreement with the terms of this agreement. If the Customer is an individual, they consent to the processing of their personal data for the proper execution of this agreement, for settlements, generation of invoices, acts, and other related documents. This consent is granted for the term of this agreement. The Customer also confirms being informed of their data protection rights under the Law of Ukraine “On Personal Data Protection” and the purpose of data collection.
2. Terms and Definitions
Online Store- the Seller’s website at himstore.com.ua, intended for distance retail purchase agreements based on the Customer’s review of information about the Product.
Product- items offered for sale in the Seller’s online store.
Product Page- a set of details about a product including its name, description, image, characteristics, price, color, size, availability, and other essential parameters.
Order- a properly completed Customer request made through the online store, addressed to the Seller for the purchase and delivery of a Product.
Order Value- the total amount payable by the Customer, taking into account discounts or bonuses (if applicable).
Place Order- the Customer’s action expressing intent to enter into a purchase agreement by submitting an order request in the online store.
Personal Data- information knowingly provided by the Customer during registration or order placement, necessary for its fulfillment.
3. Subject of the Agreement
3.1The Seller undertakes to transfer ownership of goods presented in the online store himstore.com.ua to the Customer, and the Customer agrees to accept and pay for the goods under the terms of this agreement.
3.2This agreement governs the parties’ relationship during the sale of goods through the online store, including:
3.2.1Voluntary selection of goods by the Customer in the site catalog.
3.2.2Independent order placement by the Customer.
3.2.3Full payment for the order under the terms of the agreement.
3.2.4Delivery of goods by the Seller within the specified time and in accordance with the terms of the agreement.
4. Order Placement Procedure
4.1The Customer independently places an order through the website himstore.com.ua or using contact channels listed in the online store (including social networks, messengers).
5. Price and Payment Procedure
5.1Current prices are listed in the online store and are binding at the time of the agreement.
5.2The Customer pays for the order in full using the methods provided in the online store.
5.3Delivery cost is paid separately by the Customer upon receipt from the carrier. For international orders, delivery must be paid in advance according to the chosen carrier’s rates.
5.4The Seller reserves the right to change product prices without prior notice, except for confirmed and paid orders.
6. Delivery of the Order
6.1The Seller ships the goods within 1–3 business days after order confirmation. Delivery must not exceed 30 calendar days from confirmation.
6.2Delivery methods, terms, and estimated costs are detailed in the relevant section of the website.
6.3Upon receipt, the Customer must inspect the goods for accuracy, appearance, quantity, completeness, and packaging integrity. In case of discrepancies, the Customer has the right to refuse the goods and fill out a report in the presence of the carrier.
6.4Delivery costs are calculated per the carrier’s current tariffs and are not included in the product price unless stated otherwise.
6.5The Seller is not responsible for delivery delays caused by third parties (carriers).
6.6The Customer must collect the order within 7 days of its arrival at the carrier’s office. Otherwise, it will be returned to the Seller, and the Customer bears the return costs.
6.7International orders are shipped via Nova Poshta or another carrier chosen by the Seller. Estimated delivery time is 5 to 14 calendar days, depending on destination country.
6.8International delivery costs are calculated individually based on the carrier’s rates, package weight/size, and destination.
6.9All customs duties, taxes, and other charges related to importation are paid by the Customer.
7. Return and Refund Policy
7.1The Customer may return a product of proper quality within 14 calendar days from the date of purchase, provided the item was not used and retains its original condition, packaging, tags, and receipt.
7.2Partial purchases from an order are not allowed. The Customer must accept the full order or decline it before payment.
7.3If defects are found, the Customer must notify the Seller within 5 calendar days from receipt to agree on further actions (e.g. exchange).
7.4For refunds, the Customer must provide proof of purchase.
7.5Refunds are made only via non-cash transfer to a bank account in a Ukrainian bank, including payment cards. Cash refunds are not permitted.
7.6. Refunds are processed within 3–5 business days, but not later than 30 calendar days from the return of the goods.
7.7If the Customer refuses delivery, the order is returned to the Seller. Return costs are borne by the Customer.
7.8Returns are made only via the same delivery service used initially, to the address provided by the Seller.
8. Rights and Obligations of the Parties
8.1The Customer must:
8.1.1Review product information on the website.
8.1.2Independently place an order via available channels.
8.1.3Pay for and receive goods under the agreement.
8.1.4Inspect goods upon delivery.
8.1.5Inform the Seller of delivery issues
8.1.6Comply with Ukrainian law.
8.2The Customer has the right to:
8.2.1Demand the Seller comply with the agreement.
8.2.2If defects are found within 14 days of purchase, demand: 1) a proportional price reduction;; 2) free defect correction within a reasonable period; 3) reimbursement for defect correction; 4) exchange for the same or similar product (if available).
8.2.3File complaints or claims with the Seller.
8.2.4Cancel the agreement within 14 days if the product does not meet expectations.
8.2.5Exercise other rights under Ukrainian law.
8.3The Seller must:
8.3.1Comply with this agreement.
8.3.2Notify Customers of changes by publishing a new version on the website.
8.3.3Deliver goods that match the description, in proper condition and quantity.
8.3.4Honor warranty obligations as per the Law of Ukraine “On Consumer Protection”.
8.3.5Accept and respond to complaints within the legal timeframe.
8.3.6Is not liable for actions/inactions of carriers.
8.4The Seller has the right to:
8.4.1Change the agreement terms with prior publication
8.4.2Update the product range and prices (excluding paid orders).
8.4.3If the ordered product is unavailable, notify the Customer within 3 days and offer a replacement (subject to agreement).
8.4.4Suspend the contract in case of Customer violation.
8.4.5Exercise other rights under Ukrainian law.
9. Liability of the Parties
9.1The parties are liable for breach of obligations under Ukrainian law.
9.2The Customer is fully responsible for providing accurate order information and timely payment. The Seller does not reimburse mistaken payments to third parties.
9.3Disputes are resolved through negotiations.
9.4If negotiation fails, disputes are resolved in court under applicable Ukrainian jurisdiction.
9.5Neither party is liable for non-performance due to force majeure (unforeseen, unavoidable circumstances).
9.6The party citing force majeure must notify the other in writing (including email) within 5 calendar days.
9.7If force majeure lasts over 5 months, either party may terminate the agreement with written notice.
10. Other Terms
10.1The Seller may amend this agreement unilaterally with prior publication on https://himstore.com.ua.
10.2The online store operates to facilitate distance selling under Ukrainian law.
10.3The Seller is not responsible for the accuracy of information provided by the Customer when placing an order.
10.4The Customer is solely responsible for the accuracy of data entered.
10.5Payment for an order confirms full acceptance of this agreement and signifies the conclusion of a purchase contract.
10.6Viewing products, placing orders, registering, and using the website are free for Customers.
10.7By accepting this offer, the Customer consents to processing their data in the Seller’s “Contractors” database for: 1) processing orders; 2) order communication; 3) sending marketing, informational, or commercial messages via electronic communication (email, SMS, calls).
10.8 If the Customer’s personal data changes, they must update it in their profile or notify the Seller within 20 calendar days.
10.9The Customer may unsubscribe from newsletters by emailing the Seller.
10.10 Personal data is processed according to Ukrainian law and governed by the Privacy Policy published at https://himstore.com.ua/privacy-policy.
11. Term of Agreement
11.1This agreement takes effect from the moment of order placement or registration and remains valid until full execution of all obligations.
